This Halal Compliance Services Agreement (the "Agreement") is entered into by and between:
Qistara Technologies Co., Ltd. ("Service Provider"), located in Taipei, Taiwan, and
[Client Company] ("Client"), located at [Client Address].
Service Provider agrees to provide halal compliance documentation services to the Client. This includes dossier preparation, oversight by a Technical Reviewer, and the delivery of submission-ready output tailored to the target halal standard (e.g., OIC/SMIIC 1-2019, BPJPH, JAKIM, MUIS).
Depending on the selected service tier, deliverables may include:
Client agrees to pay the fees associated with the selected service tier. Reference pricing is as follows (in USD):

Payment terms are net 14 days from the date of invoice unless otherwise specified.
IMPORTANT DISCLAIMER: Qistara prepares submission-ready documentation only. Halal certification is granted exclusively by the relevant certifying body (BPJPH, JAKIM, MUIS, etc.). Qistara makes no representations regarding approval outcomes.
Client retains all ownership rights to their product data, formulations, and proprietary information provided to the Service Provider. Qistara Technologies Co., Ltd. retains all rights to its compliance methodology, software, templates, and processes used to generate the deliverables.
Both parties agree to maintain the confidentiality of all proprietary information exchanged during the term of this Agreement. Confidential information shall not be disclosed to any third party without prior written consent, except as required by law or to the relevant certifying bodies for the purpose of the halal application.
Service Provider's total liability under this Agreement shall be limited to the total fees paid by the Client for the specific service giving rise to the claim. In no event shall Service Provider be liable for any indirect, incidental, or consequential damages, including lost profits or loss of business.
This Agreement shall be governed by and construed in accordance with the laws of Taiwan (ROC). Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Taipei, Taiwan.
